The Service and related deliverables are provided "as is," without warranties, with support primarily limited to delivery, initial use assistance, and any updates or improvements expressly included in the subscription plan. This Service is licensed for your personal, internal, and commercial use as part of your own products, services, or workflows, on a non-exclusive basis for the duration of your active subscription period. You may share the deliverables **within** your organization, but sharing, redistributing, sublicensing with unaffiliated third parties is strictly prohibited. **Resale, sublicensing, or redistribution of the deliverables or substantial outputs as standalone software or in bundles for third-party sale is strictly prohibited.** Subscription fees are due as specified in your subscription agreement. Scope, Acceptance, and Versioning - **Service Scope:**   This license governs the subscription-based access to deliverables and services provided by the service provider, including but not limited to models, workflows, assessments, and other related outputs under the subscription service offered, regardless of specific tier, package names, or subscription periods, which may evolve over time. - **Agreement:**   By subscribing, purchasing, or accepting delivery of any deliverables or services, you confirm you have read, understood, and accepted these terms. - **Subscription Term & Renewal:**   Your subscription term (e.g., monthly, annual) begins upon payment and continues until terminated or not renewed. The subscription will automatically renew unless you provide prior notice of cancellation as specified in your subscription agreement or platform terms. - **Version Updates and New Commissions:**   Subscription deliverables may be updated, improved, or changed over time at the provider’s discretion within your subscription access. New commissions or separate professional services beyond the subscription scope may require new agreements. --- ## 2. Intended and Permitted Use - **Use Rights:**   You are granted a non-exclusive, time-limited license to use and modify the deliverables and services provided via the subscription for any personal, internal, or commercial purposes as part of your own products, services, or systems. - **Access Conditioned on Payment:**   Access and license rights are conditioned on your timely payment of subscription fees. Failure to pay may result in suspension or termination of your license and access. - **Restrictions:**   You **MAY NOT**:   - Resell, redistribute, sublicense, lease, or otherwise provide the deliverables or derivative works as standalone software or part of bundles intended for resale or distribution to unaffiliated third parties.   - Publicly post, publish, share, or distribute the deliverables, code, workflows, or substantial parts thereof beyond your authorized internal or commercial use within your own organization. - **Internal Sharing:**   Sharing the deliverables within your own organization is permitted. Sharing outside your organization or to unaffiliated parties is strictly forbidden. - **Non-Exclusivity:**   The service provider reserves the right to provide the same or similar deliverables and services to other clients concurrently. No exclusivity rights are granted under this subscription license. --- ## 3. Commissioned Deliverables Features and Limits - Deliverables and services accessible via subscription are scoped according to the subscription plan details including features, limits, and usage caps. - Additional usage beyond subscription limits may require upgrading or separate agreements. - The service provider reserves the right to modify features, update content, or discontinue included deliverables with reasonable notice to the subscriber. --- ## 4. Refund Policy - Subscription fees are generally non-refundable except as required by law or as explicitly stated in your subscription terms. - If service delivery fails materially or access is interrupted beyond provider control for an extended period, partial or full refunds may be considered at provider discretion. - Cancellation requests must comply with the advance notice requirements in the subscription agreement for the next billing cycle. --- ## 5. Data Source Disclaimer - **No Implicit License to Data Sources:**   This commissioned deliverable or service does **not** grant any rights to use or redistribute content, metadata, or data from external sources accessed or used in the deliverables. - **Your Responsibility:**   You alone bear responsibility for ensuring you have all necessary rights and permissions to access and use any third-party data or content accessed or processed via the deliverables or services. - **No Unauthorized Use:**   The deliverables or services are not intended or permitted for unauthorized scraping, mass downloading, or republishing content in violation of source terms or laws. - The service provider assumes no liability for any infringement or unauthorized use of third-party content. --- ## 6. Prohibited Uses & Legal Responsibility You must **NOT** use the commissioned deliverables, services, or any outputs generated thereby for or in connection with: - Terrorism, hate speech, violent or harmful acts, harassment, privacy violations, misinformation, or any unlawful or unethical purposes. - Activities violating intellectual property rights or third-party service terms. - Illegal activities or any conduct breaching applicable laws. Any such prohibited use constitutes a material breach of these terms, entitling immediate termination of the license and possible legal action. --- ## 7. Warranties & Liability - THE DELIVERABLES AND SERVICES ARE PROVIDED "AS IS," WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. - THE SERVICE PROVIDER SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM THE USE OR INABILITY TO USE THE DELIVERABLES OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. - YOU ACCEPT ALL RISKS ASSOCIATED WITH THE USE OF THE DELIVERABLES AND SERVICES, INCLUDING RISKS RELATED TO THIRD-PARTY SERVICES OR DATA CHANGES. --- ## 8. Third-Party Components, Changes, and Retrospective Liability - Deliverables or services may include third-party libraries, APIs, or components. Ownership and licenses of such third-party elements remain with their original owners. - You are responsible for complying with third-party licenses and terms of use. - Changes to third-party services or components after delivery do not impose retrospective liability on the service provider. - The sole remedy for third-party issues is the service provider's good-faith effort to fix or replace affected components. --- ## 9. Compliance & Attribution - You must comply with all applicable laws, regulations, and third-party terms while using the deliverables or services. - You are solely responsible for providing any required attribution to data or service providers. --- ## 10. Force Majeure The service provider is not liable for any failure or delay in performance caused by events beyond reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, strikes, governmental actions, internet or power outages, or failures of third-party services. --- ## 11. Refunds, Updates, and Support - Support and updates are subject to the subscription plan details. - The service provider is not obligated to provide support beyond what is included in the subscription nor to provide perpetual updates if subscription lapses. - Access may be suspended or terminated for non-payment or breach of terms. --- ## 12. Miscellaneous - You agree not to export, distribute, or use the deliverables or services in violation of export control laws or sanctions. - Intellectual property rights remain with the service provider except for licensed third-party components. - If any provision of this license is found invalid or unenforceable, the remainder shall remain effective. - All claims or disputes must be made in good faith and not for malicious or frivolous reasons. --- ## 13.
